The parent company of Club Pilates approves a temporary plan that limits the accumulation of significant shareholdings while keeping the strategic review initiated in April open. No changes have been announced for its franchises in Spain.
The board of directors of Xponential Fitness unanimously approved a temporary shareholder rights plan on October 12, as reported by gymfactory.net. The measure responds to a recent accumulation of positions in its capital and seeks to ensure that anyone interested in acquiring the company negotiates with the board, according to the company.
The plan sets a general threshold of 19.9% of Class A shares. If a person or group reaches that stake, rights are activated for the remaining shareholders that allow them to acquire shares under the stipulated conditions, while the rights of the investor who has exceeded the threshold are annulled. The calculation includes certain positions in derivative instruments.
The company will issue one right for each Class A share registered at the close of October 22, 2026. The rights are not initially exercisable and the plan, already in effect, will expire on October 11, 2027 unless redeemed, exchanged, or terminated earlier. The board retains the option to redeem the rights under the established conditions.
Xponential emphasizes that the measure does not prevent an acquisition. Its stated goal is to protect the interests of shareholders and encourage any potential buyer to negotiate with the board beforehand, rather than accumulating a controlling stake outside of that process.
The move is part of the strategic review that the company announced on April 6, 2026, when its independent directors began examining alternatives to maximize shareholder value, including a potential sale, merger, or other transaction. For this process, it hired Jefferies as a financial advisor. The review remains open and no definitive agreement has been communicated.
Xponential's portfolio includes five brands: Club Pilates, StretchLab, YogaSix, Pure Barre, and BFT. Club Pilates is the most direct connection to the Spanish market, where it operates through its network of studios and its expansion strategy.
The statement from October 12 does not mention specific measures for Spain, nor changes in ownership of the studios, nor modifications to franchise contracts. The evolution of the parent company's strategic process will be relevant for following the group's structure, but any local effect will need to be confirmed through subsequent announcements.
